This Agreement, the Psyonix Terms of Use and the Psyonix Privacy Policy constitute the entire agreement between you and Psyonix regarding the use of the Software and related services and products and supersede all prior agreements between you and Psyonix, whether in writing or orally. The original language of this Agreement shall be English; Translations are provided for reference purposes only. The parties expressly wish that this agreement and all related documents have been drawn up in English. You waive any right you have under your country`s right to write or have this agreement interpreted in the language of another country. This agreement describes certain legal rights. You may have other rights under the laws of your jurisdiction. This agreement does not change your rights in accordance with the laws of your jurisdiction if the laws of your jurisdiction do not allow it. The limitations and exclusions of warranties and remedies in this Agreement may not apply to you, as your jurisdiction may not do so in your particular circumstances. Where any part of the Agreement is held to be invalid or unenforceable under applicable law, including but not limited to the foregoing disclaimers of warranties and limitations of liability, the invalid or unenforceable provision shall be deemed to be superseded by a valid and enforceable provision that best corresponds to the intent of the original provision, and the rest of the agreement remains in force. Psyonix`s failure to impose or exercise any provision of the Agreement or related rights shall not constitute a waiver of such right or provision. They agree that the Agreement does not confer any rights or remedies on persons other than the parties to this Agreement, unless expressly stated. Psyonix may at any time assign all or part of the agreement.
You may not assign, transfer or sub-assign your rights or obligations under the Agreement without the express written consent of Psyonix. Psyonix`s performance of the Agreement is subject to applicable laws and legal procedures, and nothing in the Agreement distinguishes Psyonix`s right, requests or requirements of governments, courts and law enforcement regarding your use of the Software or information provided to Psyonix with respect to such use or collected by Psyonix, comply with the request. In addition to any excuse provided by applicable law, Psyonix is excluded from any liability for non-delivery or delay in delivery of the software resulting from an event beyond our appropriate control, whether or not foreseeable by either party, including, but not limited to, labor disturbances, war, Terrorism, fire, denial-of-service attack, internet outages, accident, adverse weather conditions, inability to secure transportation, state acts or regulations and other causes or events beyond our proper control, whether similar or not to those listed above. The parties agree that all correspondence relating to this Agreement shall be in English. All disputes arising out of these Terms shall be settled in accordance with the laws of the State of California, Usa, without reference to its conflict of laws rules or the United Nations Convention on Contracts for the International Sale of Goods. Subject to all binding provisions of the Court of Arbitration set forth in our Terms of Use, you agree that all claims made by you or Psyonix in connection with legal proceedings in connection with this Agreement shall be brought in any national or federal court in San Diego County, California, United States, competent on the merits of such disputes. You and Psyonix each agree to submit to the personal jurisdiction of this court. The successful party in such proceedings is entitled to reimbursement of legal costs, including reasonable attorneys` fees, in addition to any other remedies granted. .
